A shareholder (or stockholder) is an individual or company (including a corporation) that legally owns one or more shares of stock in a joint stock company. Some companies allow you to buy or sell their stock directly through them without using a broker. This saves on commissions, but you may have to pay other fees to the plan, including if you transfer shares to a broker to sell them. Some companies limit direct stock plans to employees of the company or existing shareholders. There are two ways to earn money by owning shares of stock is through dividends and capital appreciation.

A company issues stock to raise capital from investors for new projects or to expand its business operations. The type of stock, common or preferred, held by a shareholder determines the rights and benefits of ownership. The owners of a private company may want additional capital to invest in new projects within the company. Owning the majority of the shares allows other shareholders to be out-voted – effective control rests with the majority shareholder (or shareholders acting in concert). In this way the original owners of the company often still have control of the company. These plans allow you to buy more shares of a stock you already own by reinvesting dividend payments into the company.
